This role will support a range of corporate governance and securities matters and will play a crucial role in supporting Capital One's Board of Directors and SEC reporting and public disclosure processes. The ideal candidate will have experience in paralegal work or project/process management, with a focus in corporate governance and securities. Responsibilities for this role include project management of Environmental, Social, and Governance initiatives, conducting research and benchmarking on governance practices, tracking and summarizing shareholder proposals, supporting Board and committee meetings, maintaining corporate secretarial functions, and responding to requests for information related to corporate transactions and regulatory inquiries. The Senior Legal Specialist will also work closely with internal legal counsel and business partners to improve existing business practices and procedures, assist with periodic audits and regulatory examinations, and support the creation and filing of documents with the Securities and Exchange Commission. Additionally, this role will assist with the drafting, updating, and implementation of corporate governance policies and procedures. Basic qualifications for this position include a High School Diploma, GED or equivalent certification, or military experience, as well as at least 2 years of paralegal or project/process management experience with either an in-house legal department or a law firm. Preferred qualifications include 3+ years of experience with a focus in corporate governance and securities, strategic thinking skills, and the ability to multitask and work in a fast-paced environment.
