Duties:

  • Advise clients on corporate governance matters, ensuring compliance with relevant laws and regulations.

  • Draft and review corporate governance documents, including bylaws, policies, and codes of conduct.
  • Collaborate with internal teams and clients to provide strategic guidance on governance issues.
  • Assist in the development and implementation of governance training programs.
  • Stay informed about proxy advisory firm policies and incorporate them into governance recommendations.

Requirements:

  • Minimum of 8 years of legal experience, focusing on corporate governance.
  • Previous experience in a law firm is preferred.
  • Strong understanding of securities laws and stock exchange corporate governance standards.
  • Detail-oriented with a keen eye for accuracy in legal documents.
  • Excellent writing and research skills.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Bar admission in the relevant jurisdiction.
