Job Overview

A law firm in New York City is seeking a qualified Mid-Level Associate Attorney to join their team. The ideal candidate will have 4-5 years of proven legal experience handling sophisticated leveraged financing transactions and will be responsible for providing legal guidance to clients in structuring and executing leverage finance transactions. The Mid-Level Associate Attorney will also be expected to draft and review various financing documents, support clients during and after transactions, and stay current on industry trends and legal developments.

Duties

  • Represent private equity sponsors and their portfolio companies and/or financial institutions in debt financing transactions.
  • Assist and provide legal guidance to clients in structuring and executing leverage finance transactions.
  • Draft and review various financing documents, including credit and service agreements, high-yield bond indentures, commitment letters, term sheets, security and guarantee agreements, and inter-creditor and subordination agreements.
  • Support clients during and after transactions by providing legal advice to ensure compliance and risk mitigation.
  • Stay current on industry trends and legal developments related to leveraged financing transactions.

Requirements

  • 4-5 years of proven legal experience handling sophisticated leveraged financing transactions.
  • 4-5 years of equivalent experience at a large law firm representing private equity sponsors, corporate borrowers, and/or lenders with leverage finance transactions.
  • The high degree of attention to detail and strong analytical abilities.
  • Strong academic record and a . degree from an accredited law school.
  • Admitted to and a member in good standing of the New York Bar.
  • Experience working in a global team environment is preferred.
