Overview:
The Mosaic Company is seeking a Corporate Counsel - Transactions and Mergers and Acquisitions to join their team in Tampa Bay. This role will provide legal counsel and support to the company's finance, corporate, strategy, and business development initiatives. The ideal candidate will have a Juris Doctor degree and at least 4 years of corporate experience.

Responsibilities:
- Provide legal counsel on a wide variety of legal matters, including drafting, reviewing, and negotiating contracts and other operational and strategic documents
- Collaborate with the Law Department and manage outside counsel on transactional and corporate matters
- Support the Finance, Tax, Accounting, and Treasury teams in finance related transactions
- Assist with corporate secretary and governance activities, including preparation and review of meeting materials, minutes, and resolutions
- Provide legal support for complex business transactions, such as mergers and acquisitions, joint ventures, and licensing agreements
- Work on special projects in collaboration with the global law team and other internal stakeholders

Requirements:
- Juris Doctor degree
- Membership in the state bar association, preferably in Florida
- At least 4 years of corporate experience in a law firm or corporate law department
- Strong background in corporate finance, subsidiary administration, corporate governance, capital markets, and mergers & acquisitions
- Prior experience in a Corporate/Fortune 500 company is a plus
- Excellent communication and interpersonal skills
- Detail-oriented with the ability to provide clear and practical advice
- Strong business acumen and problem-solving skills
- Proficiency in Microsoft Office
