Job Duties:

  • Assist in drafting, reviewing, and negotiating transactional documents related to private offerings, venture capital financing, and corporate transactions for technology companies.
  • Provide legal counsel and support to clients in various corporate matters, including mergers and acquisitions, securities compliance, and corporate governance.
  • Conduct legal research and analysis on complex legal issues relevant to client's business operations and transactions.
  • Collaborate with senior attorneys and partners in preparing for and representing clients in public and securities offerings.
  • Advise clients on regulatory compliance matters and assist in preparing regulatory filings with relevant authorities.
  • Participate in due diligence investigations and prepare reports for clients and counterparties.
  • Handle client communications and maintain positive client relationships while providing responsive and efficient legal services.
  • Stay updated on developments in corporate law, securities regulations, and industry trends to effectively advise clients and ensure compliance with applicable laws and regulations.

Requirements:

  • 3-5 years of relevant experience in Corporate Law, preferably in a major law firm environment.
  • Membership in good standing with the DC State Bar.
  • Exceptional academic credentials from a reputable law school.
  • Proven ability to work effectively in a fast-paced, dynamic legal environment.
  • Strong analytical and problem-solving skills with keen attention to detail.
