This is a full-time, exempt, hybrid position with a pay range of $100, - $150, per year. The salary will be dependent upon the individual’s skills, experience, and qualifications.

The Corporate Counsel will report to the Associate General Counsel and will be responsible for the preparation, negotiation, and control of most corporate contracts. The role will also involve assisting with compliance matters and supporting the company’s mergers and acquisition activity. This includes managing and conducting due diligence, contract review and negotiation, and providing contract training to business associates throughout the organization.

Key Responsibilities:

- Prepare and review various types of contracts, including commercial, real estate, compliance, licensing, and employment
- Provide corporate governance advice and assist with policy preparation
- Support the company’s acquisition activity through due diligence
- Enhance the effectiveness of the legal department through participation in meetings, training, and positive interaction with internal and external clients
- Understand the company’s business strategy and proactively identify and mitigate legal risks
- Provide support in non-transactional legal matters as needed

Qualifications:

- Graduate of an accredited law school
- Admitted to the New York state bar
- 5-10 years of experience in a corporate or law firm setting, in-house experience is a plus
- Experience with commercial, real estate, contract, and corporate law
- Knowledge of corporate governance is preferred
- Fluent in Spanish and/or Mandarin is a plus

The Corporate Counsel position will require less than 5% travel.
