Corporate - 50%

- Advise on governance, securities, financing, compensation programs, M&A, and more
- Responsible for corporate recordkeeping and calendar
- Assist with entity management and compliance
- Support strategic transactions like mergers and acquisitions and financings
- Manage reporting and compliance with lenders and investors
- Monitor and analyze regulatory developments and drive compliance activities

Commercial Transactions - 40%

- Draft, negotiate, and counsel on a broad range of inbound and outbound transactions
- Oversee contract lifecycle and ensure compliance
- Navigate privacy laws and security issues
- Interface with various business units and provide strategic legal advice
- Develop and implement training and tools to drive efficiencies
- Monitor and improve metrics related to contracting work

Other - 10%

- Advise and assist on legal projects and matters as needed
- Review marketing collateral and advise on legal issues
- Partner with other teams to establish processes and identify risks and opportunities

H2: Requirements

- JD from top tier law school and member of state bar
- Minimum of 3 years of corporate and transactional experience
- Experience at a public company preferred
- Familiarity with cap table management, equity compensation plans, and public company reporting
- Diligent with excellent judgment, communication, time management, and organizational skills
- Analytical mindset and attention to detail
- Ability to thrive in a fast-paced environment and work independently or in a team
- Passion for data-driven processes and operations
