**Job Summary**

Clarest Health is seeking an experienced Assistant General Counsel and Compliance Officer to join their team in the Mid-Atlantic region. This is a remote position with occasional travel, and the ideal candidate must live in the Mid-Atlantic area (MD, VA, and . preferred). This is an excellent opportunity for a senior healthcare attorney looking for a broad-based in-house practice with the opportunity to grow with an expanding organization.

**Key Responsibilities**

- Provide strategic legal advice and counsel in areas such as health law and compliance, healthcare transactions, HIPAA/privacy, employment law, customer and vendor contract negotiations and review, real estate, intellectual property, and litigation.
- Develop, monitor, and implement compliance program, including policies and procedures, administration of compliance activities, and monitoring and reporting on compliance matters.
- Analyze business and commercial initiatives and provide advice and counsel on commercial terms and applicable laws and regulations.
- Draft, review, and negotiate a variety of contracts, including master and customer service contracts, supply agreements, consulting contracts, confidentiality agreements, vendor agreements, IT agreements, software and data licenses, real estate and construction contracts, and other strategic agreements.
- Manage contracts workflow and prioritization in line with company objectives.
- Serve as internal point of contact for document management activities.
- Advise on the interpretation of legal documents and research state and federal laws and regulations applicable to federal healthcare programs, contract interpretation issues, and company processes.
- Assist with compliance matters, including employment, privacy, anti-kickback, healthcare fraud and abuse laws and regulations.
- Assist with policy development and employee training as needed.
- Keep informed of new laws, regulations, and industry trends affecting the organization.
- Assist with special projects as assigned by the General Counsel.

**Qualifications**

- 10+ years of substantive experience providing healthcare regulatory, compliance, and contracting advice and counsel.
- Extensive knowledge and experience in healthcare risk management, contract drafting and negotiation, and ensuring compliance with applicable laws, rules, and regulations.
- Ability to proactively identify and communicate issues and risks to internal decision makers for collaboration and resolution.
- Sound business judgment and strategic thinking, with the ability to define business tradeoffs, generate creative and practical solutions, and anticipate the impact of decisions.
- Excellent analytical and contract interpretation skills, and an ability to communicate complex issues in a simple way.
- Experience managing multiple projects simultaneously and thriving in a dynamic and fast-paced environment.
- Excellent interpersonal, written, and oral communication skills.

**Education and Experience**

- Juris Doctorate from an accredited law school.
- Active member of a state bar association.
