Job Details:

  • Aid partners and senior associates in formulating legal strategies for sophisticated areas of law.
  • Advise and represent private equity sponsors, portfolio companies, corporations, banks, and direct lenders.
  • Handle . and international corporate and financial transactions, including acquisition financings, leveraged buyouts, secured and unsecured debt facilities, private placements, and Chapter 11 exit financings.
  • Draft, negotiate, and review principal and ancillary loan documents.
  • Assess the Uniform Commercial Code and coordinate perfection steps for secured financings.
  • Provide deal management and coordination for domestic and cross-border financing transactions.
  • Formulate legal strategy and transaction structure based on research and analysis.
  • Provide technical credit agreement analysis and ongoing guidance to clients on loan agreement covenants.

 

Requirements:

  • JD, LLM, or foreign equivalent.
  • Admission to practice law in the State of New York.

 

Experience:

Minimum of 2 years of experience.

 

Skills:

  • Experience in corporate and financial transactions.
  • Strong drafting, negotiating, and reviewing skills.
  • Ability to formulate legal strategy and transaction structure.
  • Excellent research and analysis skills.
