Job Title: Corporate Associate

Job Responsibilities:

- Engage in hands-on drafting, negotiating, and day-to-day client communication
- Assist clients who are industry leaders in the tech and biotech sectors
- Work on interesting and impactful technologies
- Counsel clients, draft consents, and review contracts
- Conduct transactional due diligence
- Handle corporate transactions, including mergers and acquisitions
- Facilitate fundraising and financings, such as venture financings and convertible securities
- Utilize tools such as capitalization tables, Carta, and waterfalls/pro formas

Experience Requirements:

- Stellar academic credentials
- Demonstrated interest in the startup ecosystem or working with growth companies
- North Carolina bar license is highly preferred
- Ability to become licensed in NC is required

- Corporate transactions, including mergers and acquisitions
- Transactional due diligence
- Fundraising and financings, including venture financings and convertible securities
- Day-to-day corporate experience, including counseling clients, drafting consents, and reviewing contracts
