A law firm in Tucson is seeking an Employee Benefits and Executive Compensation Attorney with 4-6 years of experience. The ideal candidate will be well-versed in providing comprehensive counsel on employee benefits and executive compensation matters, particularly within the context of mergers, acquisitions, and divestitures.

 

Duties:

  • Researching tax and ERISA issues affecting the design and operation of retirement plans, welfare and fringe benefit plans, compensation arrangements, and executive agreements and plans.
  • Reviewing statutory and regulatory changes and providing client advice on effective compliance strategies.
  • Assisting with due diligence, purchase agreement review, plan terminations, and benefits integration in corporate transactions.
  • Drafting employment agreements, equity and phantom equity incentive arrangements, and transaction bonus agreements.
  • Completing IRS and Department of Labor correction program filings.

 

Requirements:

  • 4-6 years of relevant experience in employee benefits and executive compensation law.
  • Expertise in counseling on benefits and compensation issues in mergers, acquisitions, and divestitures.
  • Strong research skills in tax and ERISA issues related to retirement plans, welfare plans, and compensation arrangements.
  • Familiarity with statutory and regulatory changes affecting employee benefits and compensation.
  • Experience in due diligence, purchase agreement review, and benefits integration in corporate transactions.
  • Proficient in drafting employment agreements, equity incentive arrangements, and transaction bonus agreements.
  • Knowledge of IRS and Department of Labor correction program filings.

 

Preferred Experience:

  • Familiarity with ESOPs (Employee Stock Ownership Plans).
  • Experience with multiemployer plan withdrawal liability.
  • Knowledge of Internal Revenue Code Section 409A compliance.

 

Education:

Juris Doctor (JD) degree from an accredited law school.

 

Certifications:

Admission to the State Bar and in good standing.

 

Skills:

  • Excellent legal research and analytical skills.
  • Strong drafting and negotiation skills.
  • Effective communication and client counseling abilities.
  • Detail-oriented with a high level of accuracy.
  • Ability to work collaboratively in a team.
