In this role, you will lead our Office of Corporate Governance team and serve as a management-level expert in corporate governance and securities laws and regulations. You will provide counsel and guidance to our business units and executives on all aspects of corporate governance and securities law, and work with our legal function to continuously improve our services in this area. Key Responsibilities: - Lead and manage our Office of Corporate Governance team, including strategy development, personnel management, and professional development - Execute corporate secretary's office functions for the Exelon Board of Directors and the Company's operating company boards - Provide legal counsel and guidance to business unit clients and executives on corporate governance and securities law matters - Work with our legal function to improve our delivery of legal services in the corporate governance practice area - Oversee contracts with outside vendors and outside counsel for matters requiring their support - Perform special projects and other duties as assigned by the Chief Legal Officer or Deputy General Counsel Qualifications: - LLB or JD from an accredited law school - Admitted to practice law in a relevant jurisdiction - 12+ years of corporate governance and securities law experience - Demonstrated ability to lead a diverse team of attorneys and legal professionals - Excellent communication, organizational, and project management skills - Strong work ethic and ability to manage a broad portfolio of work under tight deadlines Preferred Qualifications: - Experience representing large cap, public companies in securities filings and compliance - Experience managing outside counsel and vendors - Business training and literacy, including accounting and finance knowledge - Expertise in executive compensation and benefits issues related to securities and governance Salary Information: The salary for this position is competitive and will be based on experience and qualifications.
