The ideal candidate will have experience in strategic and private equity M&A transactions, capital markets (including spin-offs and IPOs), investment fund formation, and/or real estate matters (including REITs). Exceptional writing, oral communication, and analytical skills are essential, along with top academic credentials and a creative mindset to tackle complex tax issues.

 

Duties:

  • Provide legal counsel and support on various tax-related matters, including strategic and private equity M&A transactions.
  • Conduct thorough research on tax law issues and provide insightful analysis and recommendations.
  • Assist in structuring and negotiating tax aspects of capital market transactions, such as spin-offs and IPOs.
  • Advise clients on tax implications of investment fund formation and real estate matters, including REITs.
  • Collaborate with cross-functional teams to address tax-related issues in client matters.
  • Draft and review legal documents, including tax opinions, memoranda, and agreements.
  • Stay updated on changes in tax laws and regulations to provide proactive legal counsel.

 

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the State Bar and eligibility to practice law in DC.
  • 3-6 years of experience in tax law, preferably with a focus on strategic and private equity M&A transactions, capital markets, investment fund formation, or real estate matters.
  • Strong understanding of tax law principles and regulations.
  • Outstanding writing, oral communication, and analytical skills.
  • Top academic credentials from a reputable law school.
  • Ability to think creatively and solve complex tax issues effectively.
