The ideal candidate should have a proven track record in representing private equity sponsors, banks, and private credit lenders in the structuring and execution of term and revolving loan facilities for leveraged buyouts, acquisition financings, and corporate growth. The role entails drafting and negotiating commitment papers, credit agreements, and collateral documents. Exceptional academic credentials, comparable law firm experience, and strong written and verbal communication skills are essential for this position. New York Bar admission or eligibility to obtain admission promptly is required.

Duties:

• Represent private equity sponsors, banks, and private credit lenders in structuring and executing term and revolving loan facilities for leveraged buyouts, acquisition financings, and corporate growth.
• Draft, review, and negotiate commitment papers, credit agreements, and collateral documents to ensure compliance with legal requirements and client objectives.
• Collaborate with clients and internal teams to provide legal guidance and expertise in private equity debt finance matters.
• Conduct legal research, analysis, and due diligence to support client transactions and advise on potential risks and opportunities.
• Stay current with relevant legal developments and regulations in the private equity and finance sectors.

Requirements:

• 5-8 years of experience as an attorney with a focus on private equity debt finance.
• Extensive experience representing private equity sponsors, banks, and private credit lenders in loan facility transactions.
• Proven expertise in drafting and negotiating commitment papers, credit agreements, and collateral documents.
• Exceptional academic credentials.
• Comparable law firm experience.
• Excellent written and verbal communication skills.
• New York Bar admission or eligibility to obtain admission promptly.

Education:

• Juris Doctor (JD) degree from an accredited law school.
• Eligibility to practice law in the state of New York.
