## Job Summary EnerSys is currently seeking an experienced corporate attorney with commercial contract experience. The Associate Corporate Counsel will be a key member of the legal department and will work closely with various departments to review, draft and negotiate contracts, ensure operational compliance, and provide general legal support to the Company and the Senior Management Team. The position will report to the Deputy General Counsel. ## Job Description **Essential Duties and Responsibilities** - Review draft and negotiate domestic and international commercial contracts including sales, service, procurement and other commercial agreements; - Review and negotiation of complex domestic and international commercial contracts, such as equipment supply & installation agreements, operations & maintenance agreements, etc.; - Work effectively with sales, finance and business leadership to reach a successful outcome in contract negotiations across the Americas, EMEA and APAC; - Manage legal entity formation, registration, qualification, and related filings with our third-party vendors and outside counsel; - Assist with M&A activities, as needed; - Identify and assess legal and business risks to the Company; - Provide assistance to the General Counsel and Deputy General Counsel; - Manage outside counsel and provide oversight as may be required; and - Provide guidance and direction to paralegals and other support staff members of the Legal Department. **Qualifications** - with at least four (4) years of relevant work experience as an attorney; - Must have a practicing license and be in good standing within a particular state jurisdiction; - Must have excellent writing and communication skills; - Must be willing to travel; and - Previous experience with manufacturing and/or construction industry a plus. **Minimum Competencies:** - Ability to prioritize and balance competing issues within a fast-paced, rapidly evolving environment; - Strong critical thinking and problem-solving skills; ability to understand complex topics and identify critical issues in a timely manner; - Be detail-oriented, organized, efficient, and resourceful with strong follow-through skills; - Have a practical, business-oriented approach to problem-solving and be able to effectively counsel internal clients by providing them with clear, concise, and commercial advice on established timelines to meet their business needs; - Be able to operate autonomously while being a team player who brings a positive attitude to the workplace and works collaboratively with other members of the Legal team and with internal clients; and - Have excellent communication (written and verbal) and interpersonal skills. ## Location Reading, PA, US, 19605 ## General Job Requirements This position will work in an office setting, expect minimal physical demands. ## Salary Salary is commensurate with experience. ## EnerSys Equal Employment Opportunities EnerSys provides equal employment opportunities to all employees and applicants for employment and prohibits discrimination and harassment of any type without regard to race, color, religion, age, sex, national origin, disability status, genetics, protected veteran status, sexual orientation, gender identity or expression, or any other characteristic protected by federal, state or local laws.
