Corporate Counsel - Job Description Cloud Software Group is seeking a highly qualified Corporate Counsel to join our team in Ft. Lauderdale, Florida. As a member of our legal team, you will have the opportunity to work on a variety of general corporate, global entity management, administrative, and M&A and finance matters. We are looking for a proactive and detail-oriented individual with a Juris Doctorate from an accredited law school and at least 3 years of experience as an attorney. Responsibilities: - Provide legal support for general corporate matters, including entity formation, drafting of documents, and managing officer and director changes. - Oversee the administration of Cloud Software Group's international corporate structure, including regulatory filings and subsidiary financial statements. - Work with internal stakeholders and outside counsel to ensure compliance and cost-effectiveness. - Interact with colleagues worldwide and manage cross-functional issues and projects. - Assist with M&A, finance, and other strategic transactions, including due diligence, closing mechanics, and post-closing integration. Requirements: - Juris Doctorate from an accredited law school. - Licensed attorney in at least one jurisdiction in the United States. - 3+ years of experience as an attorney, with a combination of law firm and in-house experience. - Strong decision-making skills and ability to find practical solutions. - Professionalism, commitment to follow through, and ability to handle multiple priorities and deadlines. - Proactive mindset and ability to make calculated risks within defined boundaries. - Detail-oriented with excellent grammar, spelling, proofreading, and interpersonal skills. - Excellent communication and interpersonal skills.
