A law firm based in Washington DC is seeking a skilled Mid-Level Associate Attorney with 2+ years of experience in a general corporate transactional practice group of an international law firm. The ideal candidate will focus on domestic and multijurisdictional mergers and acquisitions, private equity transactions, and general corporate and finance matters.

 

Job Overview:

  • Provide analysis and counsel to clients on legal, regulatory, and business issues related to mergers and acquisitions and other corporate transactions.
  • Research legal risks and draft, review, and administer primary deal documents.
  • Negotiate provisions in principal deal documents and lead calls with opposing counsel.
  • Coordinate with subject matter experts on key regulatory and compliance issues.
  • Lead key deal workstreams, including due diligence memoranda and analyses.
  • Review and edit reports, opinions, and correspondence drafted by junior associates.
  • Participate in firm activities, committees, and pro bono assignments.

 

Duties:

  • Advise clients on mergers and acquisitions and other corporate transactions.
  • Draft, review, and administer primary deal documents such as purchase agreements and merger agreements.
  • Negotiate deal provisions and correspond with partners on major deal issues.
  • Coordinate with subject matter experts on regulatory and compliance issues.
  • Lead due diligence efforts and prepare reports for clients.
  • Review and edit documents drafted by junior associates.
  • Participate in firm activities and pro bono assignments.

 

Requirements:

  • Juris Doctor (.), ., or foreign equivalent.
  • Admission to a . State Bar.
  • 2+ years of experience in a general corporate transactional practice group of an international law firm.
  • Experience in domestic and multijurisdictional mergers and acquisitions and private equity transactions.
  • Strong understanding of general corporate and finance matters.

 

Certifications:

Admission to a . State Bar.
