Job Overview: A law firm in Clayton, MO, is seeking an experienced Employee Benefits and Executive Compensation Attorney to join their team. Duties:

  • Provide counsel on employee benefits and executive compensation matters, including issues arising from mergers, acquisitions, and divestitures.
  • Conduct research on tax and ERISA (Employee Retirement Income Security Act) issues related to retirement plans, welfare and fringe benefit plans, and executive agreements.
  • Stay abreast of statutory and regulatory changes and advise clients on effective compliance strategies.
  • Assist with due diligence, purchase agreement review, plan terminations, and benefits integration in corporate transactions.
  • Draft employment agreements, equity and phantom equity incentive arrangements, and transaction bonus agreements.
  • Complete IRS and Department of Labor correction program filings as necessary.

Requirements:

  • Juris Doctor (.) degree from an accredited law school.
  • Admission to the state bar in Missouri or eligibility for admission through reciprocity.
  • 4-6 years of experience practicing law with a focus on employee benefits and executive compensation.
  • Strong understanding of tax and ERISA laws and regulations.
  • Experience with corporate transactions and due diligence processes.
  • Excellent analytical, research, and writing skills.

Preferred Certifications:

  • Certification in Employee Benefits Law or similar field (preferred but not required).

Skills:

  • Proficiency in legal research tools and databases.
  • Ability to effectively communicate complex legal concepts to clients.
  • Detail-oriented with strong organizational skills.
  • Ability to work independently and as part of a team.
  • Familiarity with ESOPs, multiemployer plan withdrawal liability, and Internal Revenue Code Section 409A compliance is a plus.
