Associate General Counsel Department: Corporate Legal Location: Boston, MA Overview: - The Community Builders, Inc. (TCB) is a nationally recognized nonprofit developer, owner, and manager of affordable and mixed-income housing and commercial properties. - Founded in 1964, TCB has developed over 33,800 housing units and currently owns or manages over 13,000 units of housing. - TCB's mission is to build and sustain strong communities where all people can thrive. - TCB's Legal Department, based in Boston, manages all aspects of the organization's corporate and transactional legal work. - The department consists of 5 attorneys, 2 paralegals, and student interns or clerks as needed. - The Associate General Counsel will be a full-time position based in the Boston office, with potential for remote work up to three days per week. Essential Functions: - Transactional Practice: The Associate General Counsel will join an in-house transactional practice that includes real estate and housing development, financial structuring, title and real estate conveyancing, and negotiating and closing complex financings. - Compliance and Management: The Legal Department provides counsel on regulatory and legal compliance, as well as the operation and management of affordable and mixed-income housing communities. - Corporate Representation, Claims, Litigation: The department also provides legal representation for various matters, including employment law and general contracts, and manages third-party claims. - Legal Entity Formation and Maintenance: The department regularly advises on TCB's corporate structure and the formation and maintenance of over 600 subsidiaries and affiliates. - Legislative and Policy Matters: The Associate General Counsel may participate in legislative and policy matters related to TCB's mission and operations. - Staff Training: The Associate General Counsel may assist in providing training and developing form documents for staff in various departments. Education & Experience: - Excellent academic record. - 7-10 years' experience as a corporate and/or transactional attorney. - Substantial experience in affordable housing and community development finance, real estate law, nonprofit organizations, fair housing, and general corporate and employment law. - Admission to MA state bar. - Demonstrated commitment to affordable housing and community development or related mission-oriented work. Knowledge, Skills and Abilities: - Ability to analyze and solve complex legal problems. - Excellent communication skills. - Effective legal and business judgment. - Demonstrated ability to succeed in a complex organization. - Collaborative and respectful management style. - Innovative and creative thinker and problem solver. Salary Information: - Competitive salary based on experience and qualifications. - Full-time position with potential for remote work up to three days per week.
