In this role, the successful candidate will be responsible for managing legal business matters and protecting the enterprise's rights in contract negotiations, settlements, litigation, and business practices. The Corporate Counsel III will work as part of a legal team of 200 attorneys and paraprofessionals with a focus on employment law, corporate compliance, litigation support, intellectual property, and financial crime. This role will also involve providing legal support to various internal teams that support external client relationships. Key Responsibilities: • Prepare and negotiate contracts while providing legal advice and counsel to business units in areas such as software licensing, data security, privacy, and regulatory matters. • Conduct legal research and analysis on commercial contracts and information technology law issues. • Advise colleagues on legal issues related to commercial contracts, product development, and compliance. • Manage a variety of assigned legal projects. • Provide general corporate and commercial legal services to in-house clients. • Prepare legal drafts, opinions, and various documents. • Negotiate and draft contracts as requested by legal management personnel. • Render opinions and advice regarding contract interpretation and other business law issues. • Conduct legal research and analysis in preparation for litigation or other legal actions, if in the litigation group. • Examine pertinent information, such as interview notes and historical precedent, to determine the advisability of defending or prosecuting litigation. Qualifications: • Demonstrated experience in general corporate matters, including corporate organization, securities compliance, drafting transactional documents, license agreements, employment law, immigration law, intellectual property, regulatory matters, risk management, asset-backed financing, and contract management. • Six or more years of experience as a practicing attorney in a complex regulatory environment. • Preferred to have at least two years of experience with the FIS legal department. • Experience drafting information and technology services agreements, software license agreements, and general commercial contracts. • Ability to review and evaluate multi-faceted issues and counsel business colleagues on complex legal questions related to various business matters. • A college degree and a Juris Doctor from an accredited US law school. • Licensed to practice law in at least one . jurisdiction.
