Responsibilities include:

- Assisting in drafting and negotiating a variety of transactional agreements, including stock and asset purchase agreements, merger agreements, and other transaction documents.
- Conducting due diligence and research on potential transactions.
- Advising clients on securities law compliance and corporate governance matters.
- Assisting with public and private offerings of equity and debt securities, including initial public offerings.
- Collaborating with other attorneys and team members on complex transactions and projects.

Qualifications:

- Two to six years of experience in corporate and securities law.
- Experience with mergers and acquisitions, securities law (including SEC reporting requirements), public and private financings, corporate governance, and related business matters.
- Excellent academic credentials and experience in a large firm.
- Admission, or eligibility for admission, to the Arizona Bar.
