A law firm in Cincinnati, OH, is seeking a Corporate Associate Attorney with 3-6 years of experience. The selected candidate will be responsible for supporting a variety of corporate work, including M&A, joint ventures, growth equity financings, and general corporate and commercial matters that support in-house legal departments and operational teams of public and private companies. The ideal candidate will have experience working on M&A deals, drafting LLC agreements and similar documents for corporate entities, and drafting and negotiating commercial contracts. They should also be comfortable with technology and must be admitted to practice law in Ohio.

Duties:

• Provide legal support for a range of corporate matters, including M&A, joint ventures, and growth equity financings.
• Draft and review legal documents and contracts, including LLC agreements and ancillary documents.
• Conduct due diligence on M&A deals and prepare diligence reports.
• Collaborate with in-house legal departments and operational teams of public and private companies.
• Offer legal counsel and guidance on general corporate and commercial issues.
• Negotiate and review commercial contracts to ensure compliance and minimize legal risks.

Requirements:

• 3-6 years of legal experience with a focus on corporate matters.
• Active Bar license in Ohio, admitted to practice law.
• Strong experience in M&A deals, ancillary document preparation, and due diligence.
• Experience drafting LLC agreements and similar corporate entity documents.
• Proficiency in drafting and negotiating commercial contracts.
• Comfortable with technology and modern legal tools.

Education:

• Juris Doctor (JD) degree from an accredited law school.
