Organization is seeking a highly experienced and driven General Counsel (In-House) to join their team in Las Vegas, Nevada. Reporting directly to the CEO, the General Counsel will be responsible for managing operations and compliance across various functions in a nonprofit setting. This includes overseeing corporate legal, human resources, insurance, facilities, safety, and information technology. The General Counsel will also work closely with the CEO, board, and internal teams to ensure effective corporate governance practices and compliance with federal, state, and local laws and regulations.

Key Responsibilities:

• Independently evaluate issues and determine the appropriate course of action
• Collaborate with the CEO in setting and driving organizational vision and strategy
• Oversee internal functions including corporate legal, human resources, insurance, facilities, safety, and information technology
• Ensure compliance with federal, state, and local laws and regulations
• Develop and implement the organization’s legal and compliance strategy
• Provide strategic legal guidance and solutions to further the organization’s mission and vision
• Review and negotiate contracts
• Manage and coordinate with outside counsel and other service providers
• Handle confidential information with discretion
• Collect data, perform analysis, and prepare reports on a recurring and ad hoc basis
• Attend meetings, take detailed minutes, and see that follow-ups are completed
• Meticulously organize and maintain electronic and physical files

Requirements:

• Active membership in a state bar with good standing
• Currently licensed to practice law in Nevada, or eligible to be licensed within 6 months of hire
• 5+ years of experience as general counsel or in corporate law
• A strong understanding of regulatory implications for nonprofit organizations
• Alignment with and support for the organization’s purpose, core beliefs, current mission, and brand
• Exceptional leadership and management skills
• High drive, curiosity, and commitment to meeting goals on time
• Strong sense of humor and positive, team-first attitude
• Exceptional organization and follow-through
• Emotional maturity and the ability to successfully work with strong personalities
• Strong processing, organizational, and work management skills
• Detail-oriented mindset with exceptional written and oral communication skills
• Ability to travel as required (less than 25%)

what you’ll do

independently evaluate issues and determine the appropriate course of action, referral, or response
collaborate with the ceo in setting and driving organizational vision and an overall strategy that maximizes our impact
oversee internal functions including corporate legal, human resources/personnel, insurance, facilities, safety, and information technology (it)
ensure systems are in place to mitigate any technology, security, and financial risks to the organization
ensure communication, information flow, and collaboration within and among the fpc operations teams and external stakeholders
collaborate with the ceo, board, and internal teams to ensure effective corporate governance practices and compliance with federal, state, and local laws and regulations, including political and tax compliance
develop and implement the organization’s legal and compliance strategy, including internal trainings and managing outside counsel
provide strategic legal guidance and solutions to further the organization’s mission and vision
use critical thinking, training, skill, and judgment to conduct research and prepare routine and advanced materials including error-free written communications (emails, letters, etc. ), memoranda, analysis, reports, and publications
review, negotiate, and approve as to form the terms and conditions of contracts
receive and process claims, submit claims to insurance carrier(s), assess possible indemnification opportunities, and assist insurance defense counsel with discovery requests
manage and coordinate with outside counsel, accountants/auditors, human resources consultants, and other service providers
manage internal document retention and discovery
support preparations for and attend depositions as necessary
provide corporate legal support to the ceo and senior executives
handle confidential information with discretion and maintain strict confidentiality
collect data, perform analysis, maintain business analytics/dashboards, and prepare/present reports on a recurring and ad hoc basis
attend meetings, take detailed minutes, memorialize/communicate action items/follow-ups, and see that follow-ups are timely and properly completed
meticulously organize and maintain electronic and physical files and organizational systems
review materials for completeness and accuracy prior to distribution
perform other duties and manage other projects as assigned
