A law firm based in Baltimore is seeking a Corporate/M&A/Securities/Finance Transactional Attorney with at least 6 years of experience in corporate, M&A, securities, and/or finance transactions. The ideal candidate will have strong academic credentials and excellent oral and written communication skills. Applicable Bar admission for the desired jurisdiction is required.

 

Duties:

  • Provide legal counsel and representation to clients in corporate, M&A, securities, and finance transactions.
  • Draft, review, and negotiate transactional documents, including merger agreements, stock purchase agreements, financing agreements, and securities filings.
  • Conduct due diligence reviews and analysis for transactions.
  • Advise clients on corporate governance matters and compliance with securities regulations.
  • Collaborate with clients, opposing counsel, and other stakeholders to negotiate and finalize deals.
  • Handle all aspects of transactional matters, including deal structuring, document drafting, and closing.
  • Assist with regulatory filings and compliance matters.
  • Stay updated on changes in corporate, securities, and finance laws and regulations.
  • Provide legal advice and guidance on transactional matters to clients and colleagues.

 

Requirements:

  • 6+ years of experience with corporate, M&A, securities, and/or finance transactions.
  • Applicable Bar admission for the desired jurisdiction.
  • Strong academic credentials.
  • Excellent oral and written communication skills.
  • Ability to work independently and as part of a team.
  • Attention to detail and accuracy in legal work.

 

Education and Certifications:

  • Juris Doctor (.) degree from an accredited law school.
  • Applicable Bar admission for the desired jurisdiction.

 

Skills:

  • Proficiency in drafting and negotiating transactional documents.
  • Strong analytical and problem-solving skills.
  • Knowledge of corporate governance and securities regulations.
  • Ability to manage multiple projects and prioritize tasks effectively.
