Duane Morris LLP is looking for a senior associate or counsel to join its Corporate Practice Group in its Philadelphia office. The ideal candidate should have at least 5+ years of legal industry experience and a background in Delaware and Pennsylvania corporate laws. Knowledge and experience in the life science sector are highly desirable.

##### Qualifications
- At least 5+ years of legal industry experience
- Background in Delaware and Pennsylvania corporate laws
- Knowledge and experience in the life sciences sector
- Ability to work independently and engender client confidence
- Strong academic background and excellent writing skills (law review or journal preferred)
- PA bar required or ability to waive in

##### Responsibilities
- Draft and review venture capital investment documents
- Prepare commercial contracts and confidentiality agreements
- Negotiate and review material transfer, master services license, clinical trial and research agreements
- Work in a creative, entrepreneurial and collegial environment
