The candidate should be proficient in the Securities Act of 1933 offer, sale, and registration statement requirements, including registration on Forms S-1, F-1, S-3, F-3, S-4, F-4, and S-8. Must have experience with Form S-3/F-3 takedown transactions, including Registered Direct, CMPO, and ATM Offerings, and be able to prepare all needed transaction documents, including the ProSupp. Should also have experience with preparing reports under the Securities Exchange Act of 1934, including annual and periodic reports and proxy and information statements. Japanese language skills are preferred.
