A law firm in Albany, NY, is seeking a Finance Partner who is a New York licensed Banking and Finance attorney with a minimum of 10 years of experience in representing borrowers and lenders in sophisticated, middle-market commercial lending transactions. The ideal candidate will have a proven track record of negotiating, structuring, and documenting various secured and unsecured financing transactions, including commercial mortgage transactions, acquisition financings, asset-based financings, senior, mezzanine, and subordinated debt transactions, cross-border financings, and the issuance of opinion letters.

Duties:

  • Provide expert legal counsel and representation to clients in complex banking and finance matters.
  • Lead and manage a team of associates and paralegals in finance-related legal matters.
  • Draft and review legal documents, including loan agreements, security agreements, and opinion letters.
  • Conduct legal research and analysis to ensure compliance with federal and state regulations.
  • Negotiate and structure financing transactions to meet the unique needs of borrowers and lenders.
  • Advise clients on risk assessment and mitigation in financial transactions.
  • Collaborate with other practice areas within the firm to provide comprehensive legal services.

Requirements:

  • Juris Doctor (.) degree and active New York State Bar membership.
  • A minimum of 10 years of experience as a Banking and Finance attorney.
  • Proven expertise in representing both borrowers and lenders in commercial lending transactions.
  • Strong knowledge of federal and state banking and finance regulations.
  • Exceptional negotiation and contract drafting skills.
  • Ability to work in a fast-paced, client-focused environment.
  • Strong leadership and management capabilities.
  • Excellent communication and interpersonal skills.

Education:

  • Juris Doctor (.) degree from an accredited law school.

Certifications:
