Salary Range Not specified Position Overview: As an integral part of the Questel Legal Team, the US In-House Legal Counsel will be responsible for protecting the legal interests of Questel Group's US entities. This role will report to the Questel Group Chief Legal Officer and will involve managing complex legal projects and ensuring legal compliance for the US entities. Principal Duties & Responsibilities: - Draft and review contracts and agreements for various teams including HR, Sales, Finance, and Procurement - Advise international legal team on US federal, state, and local laws - Consult with HR team on corporate policies and procedures and ensure compliance with labor laws - Assist with immigration and tax issues as needed - Support finance team and outside auditors during audits - Advise on creditor's rights in bankruptcy proceedings - Draft and file corporate documents to comply with state and local requirements - Supervise registered agent and audit annual renewals - Assist with special projects such as mergers and acquisitions and litigation - Draft meeting minutes and consents for stockholders, LLC members, and board of directors - Provide Certificates of Good Standing and other legal documents for US entities - Work on special projects and other duties as assigned by management Qualifications & Skills: - Juris Doctor (JD) degree from a US accredited law school - Licensed to practice law by and in good standing with at least one state bar - Minimum of 5 years of legal experience - Experience in corporate governance law, drafting contracts and agreements, labor law compliance, and creditor representation in bankruptcy - Familiarity with mergers and acquisitions and due diligence is a plus - Strong negotiation and legal writing skills - Excellent analytical, organizational, written, and verbal communication skills - Detail-oriented and able to work quickly and accurately - Proficiency in Microsoft Office applications - Fluent in English, fluency in a second language is preferred but not required Physical/Sensory/Mental Demands: - Ability to stand and sit for extended periods of time - Ability to operate a computer and other office equipment - Ability to maintain confidentiality - Travel may be required Additional Requirements: - Verification of identity Disclaimer: Please note that this job description is not comprehensive and duties, responsibilities, and activities may change at any time.
