The option to work remotely within the US is also available. As a Senior Manager, you will play a crucial role in leading and executing tax structuring and diligence projects for our clients. Your responsibilities as a Transaction Advisory M&A Tax Senior Manager will include: Leading and coordinating due diligence and tax structuring engagements Working with clients and their legal counsel to structure various transactions, such as taxable and tax-free acquisitions, dispositions, reorganizations, and spinoffs Assisting clients with current issues related to debt and equity restructurings, tax basis, earnings and profits, and section 382 studies Collaborating with a target company's finance and accounting departments and tax advisors to gather important information for tax risk analysis Identifying opportunities for tax optimization planning, tax remediation, and overall tax strategy for private equity and strategic buyers Coordinating with tax compliance teams to ensure accurate reporting on US federal, state, and other tax filings Engaging in marketing and business development activities Mentoring and developing other team members while contributing to the ongoing development of M&A best practices The ideal candidate for this position will have: A degree in Accounting, Masters in Business Taxation (MBT) or JD/LLM At least 5 years of experience in M&A transactions Strong analytical skills and the ability to interpret complex data The ability to prioritize and adapt quickly to new challenges and concepts Experience in project leadership for tax structuring and diligence engagements Knowledge of US federal income tax law, including Subchapter C & S corporations, partnerships, consolidated groups, tax-efficient structuring and use of debt, and the reorganization provisions of the Internal Revenue Code Technical writing and reviewing skills for opinion letters and memoranda Experience in tax consulting and planning, such as analyzing proposed transactions for unusual tax risks or unanticipated tax benefits Ideally, you will also have: A proven track record of excellence in mergers and acquisitions transactions Previous experience in a large professional services organization Strong networking skills in a relevant industry At WithumSmith+Brown, we are committed to providing equal employment opportunities to all employees and applicants for employment, regardless of race, color, religion, sex, sexual orientation, gender identity, national origin, age, marital status, genetic information, disability, or veteran status.
