Salary The salary range for this position is $150,000 - $200,000 annually. ## Overview The Assistant General Counsel (AGC) is a senior leader responsible for driving the company's growth and managing business risk. The AGC is expected to provide legal advice on all issues affecting the existing and future business, co-lead and manage all corporate deal structuring, negotiation and execution activities, and guide and structure the contracting and maintenance of licensing agreements, strategic alliances, research partnerships, complex commercial transactions, and other corporate collaborations. The AGC must also manage external counsel, manage and lead commercial disputes, provide and develop commercial and compliance training, lead and implement compliance and governance programs, and manage company secretarial and corporate tasks. ## Job Responsibilities The Assistant General Counsel will be responsible for the following: - Provide sound legal advice on all issues affecting the existing and future business, including development of legal strategies to support business initiatives and appropriately mitigate exposure to risk. - Co-lead and manage all corporate deal structuring, negotiation, and execution activities. - Guide and structure, the contracting and maintenance of licensing agreements, strategic alliances, research partnerships, complex commercial transactions, and other corporate collaborations. - Manage external counsel for all legal activities, ensuring high quality and cost-effective support. - Managing, negotiating, and structuring material commercial contracts including but not limited to Strategic Partnership/JV agreements, M&A agreements, Financing agreements, EPC agreements, Power Purchase Agreements, as well as complex land use agreements. - Managing the legal team and directing workflow and allocating legal resources as appropriate. - Working closely with the senior management team of your assigned business areas and developing and implementing a strategy for the in-house legal team. - Managing and leading commercial disputes, as well as material collection and payment disputes. - Providing advice on a broad spectrum of legal topics affecting renewable energy generation and transmission. - Providing and developing commercial and compliance training. - Leading and implementing compliance and governance programs. - Managing company secretarial and corporate tasks. - Managing outside counsel. - Attract, engage, and develop the company’s legal team, including managing performance and driving career growth. ## Requirements The ideal candidate for the Assistant General Counsel position will have a minimum of ten (10) or more years of US legal experience, at least five (5) in a supervisory role. The candidate must also possess a law degree (. or equivalent) from an ABA-Accredited Law School and an active attorney license in at least one . jurisdiction. The candidate should also have experience in M&A, commercial lending, and general corporate experience, as well as an interest in renewable energy technology and an eagerness to learn more about the industry. Finally, the candidate must demonstrate strong communication and interpersonal skills, with the ability to take the initiative and build productive relationships internally and externally. ## Salary The salary range for this position is $150,000 - $200,000 annually.
