A law firm is seeking a Senior Legal Counsel for its Chicago, IL, location.

Job Overview:

The Senior Legal Counsel will be crucial in the firm's global expansion initiatives, handling international commercial contracts, corporate transactions, compliance matters, and governance functions. The ideal candidate should possess a JD and active US Bar license, with 4-8 years of experience in high-volume international commercial contracts and transactional M&A work. Additionally, dual qualification in an EU location is preferred. The candidate must demonstrate an entrepreneurial mindset, strategic thinking, and exceptional communication skills to navigate complex legal matters in a fast-paced environment.

Duties:

  • Assist in developing strategies for the firm's global expansion initiatives, including lateral hires, mergers and acquisitions, and corporate governance.
  • Lead international commercial contract matters by drafting, reviewing, and negotiating client and vendor contracts and commercial leases.
  • Handle general corporate transactional matters, including complex MSAs, RFPs, and NDAs.
  • Respond to client compliance requests and vendor inquiries regarding contractual/compliance obligations.
  • Attend to key governance functions and contribute to ad hoc projects, including new office openings.

Requirements:

  • JD is required to have an active US Bar license; dual qualification in an additional EU location is preferred.
  • 4-8 years of experience in high-volume international commercial contracts and transactional M&A work.
  • Experience practicing at a large or mid-sized law firm with a substantial global practice supporting clients with cross-border legal issues, preferably augmented by in-house experience.
  • Ability to balance entrepreneurial quickness with professional insight, dealing effectively with both strategic issues and tactical operational details.
  • Desire to create more efficient processes and working methods, with familiarity with laws and regulations relevant to client onboarding.
  • Excellent time management skills and attention to detail, committed to producing high-quality work product.
  • Superior interpersonal, relationship management, and communication skills, as well as an understanding of cultural differences and ways of working.
  • Must possess gravitas, credibility, and self-confidence while demonstrating considerable collaboration and teamwork abilities.
