Job Details:

Duties:

  • Lead and support Mergers and Acquisitions transactions from inception to completion.
  • Draft, review, and negotiate a wide range of transactional documents, including purchase agreements, disclosure schedules, and ancillary agreements.
  • Conduct due diligence investigations and analyze legal and business risks associated with transactions.
  • Work collaboratively with clients, partners, and other team members to deliver exceptional legal services and achieve clients' strategic objectives.
  • Manage and mentor junior associates, paralegals, and support staff as needed.

Requirements:

  • Minimum of 5-9 years of legal experience, with a focus on corporate transactional work.
  • A minimum of 5 years of hands-on experience in mergers and acquisitions is required.
  • Strong drafting and negotiation skills with a proven track record of successful deal execution.
  • Ability to independently manage and oversee various components of complex transactions.
  • Current license to practice law in Illinois or eligibility to become licensed in the state.

Education:

  • Juris Doctor (JD) degree from an accredited law school.
  • Successful completion of the Illinois Bar Examination or eligibility to sit for the bar exam.

Certifications:

  • Active membership in good standing with the Illinois State Bar Association or eligibility for immediate membership.

Skills:

  • Proficiency in legal research, contract analysis, and due diligence.
  • Exceptional communication and interpersonal skills.
