A law firm in New York City is seeking a Corporate Blue Sky Project Attorney with experience in Blue Sky compliance and knowledge of securities laws. The ideal candidate will interface with regulatory agencies, research state securities laws, and ensure compliance with Blue Sky regulations for diverse securities transactions.

 

Duties:

  • Interface with the SEC and state securities regulatory agencies on Blue Sky compliance matters.
  • Research state securities laws and regulations governing diverse securities transactions.
  • Review offering documents and other agreements for compliance with Blue Sky laws.
  • Monitor the firm’s project base of blue sky-related transactions.
  • Prepare and make filings manually and online via federal and state securities portals.
  • Assist in overall compliance of transactions under Blue Sky law.
  • Provide guidance on securities laws, including the ’33 Act, ’34 Act, and ’40 Act.
  • Support attorneys and clients on securities-related matters, including public and private equity offerings, follow-on offerings, and compensation incentive plans.

 

Requirements:

  • Some working experience in Blue Sky compliance.
  • Knowledge of the ’33 Act and state securities laws governing securities transactions.
  • Familiarity with reporting requirements under the ’34 Act and provisions of the ’40 Act relating to fund formation.
  • JD from an accredited law school.
  • Admission to the bar in New York.
  • Excellent legal research and writing skills.
  • Strong attention to detail and organizational skills.

 

Education:

Juris Doctor (JD) degree from an accredited law school.

 

Certifications:

Admission to the New York Bar.

 

Skills:

  • Experience with Blue Sky compliance and securities laws.
  • Proficiency in legal research and writing.
  • Ability to interface with regulatory agencies and clients.
  • Strong attention to detail and organizational skills.
