A law firm based in Wilmington is seeking a Corporate/M&A/Securities/Finance Transactional Attorney with 6+ years of experience in corporate, M&A, securities, and/or finance transactions. The ideal candidate will have applicable Bar admission for the jurisdiction of interest, strong academic credentials, and excellent oral and written communication skills.

 

Duties:

  • Provide legal counsel and representation to clients in corporate, M&A, securities, and finance transactions.
  • Draft and negotiate a variety of transactional documents, including purchase agreements, financing agreements, and securities filings.
  • Conduct due diligence reviews and assessments for transactions.
  • Advise clients on corporate governance matters and compliance with securities regulations.
  • Assist with the structuring and implementation of mergers, acquisitions, and other corporate transactions.
  • Collaborate with other attorneys, paralegals, and support staff to manage transactional matters effectively.
  • Communicate regularly with clients to provide updates and guidance on transactional matters.
  • Stay updated on changes in corporate and securities laws and regulations.

 

Requirements:

  • Applicable Bar admission required for the jurisdiction of interest.
  • 6+ years of experience with corporate, M&A, securities, and/or finance transactions.
  • Strong academic credentials.
  • Excellent oral and written communication skills.

 

Education and Certifications:

  • Juris Doctor (.) degree from an accredited law school.
  • Applicable Bar admission for the jurisdiction of interest.

 

Skills:

  • Proficiency in drafting and negotiating transactional documents.
  • Strong analytical and problem-solving skills.
  • Ability to work independently and as part of a team.
