Position Specific Description:

- Seeking a Sr. Tax Attorney to join NextEra Energy's Tax Planning team
- In-house tax department focused on M&A transactions
- Responsible for modeling tax treatment of transactions

Professional Experience:

- Strong transactional tax background in acquisitions, dispositions, financings, reorganizations, restructurings, venture capital fund investments, and joint ventures
- Experience with Subchapter K, Subchapter C, and consolidated return regulations
- Ability to structure and document complex M&A and venture capital transactions
- Preparation of tax memoranda and opinions
- Reviewing transaction documents and drafting tax provisions
- Developing, reviewing, and commenting on tax aspects of financial models
- 3+ years of experience in M&A tax issues at an AmLaw 100 law firm or "Big 4" public accounting firm
- Energy industry experience preferred

Additional Responsibilities:

- Provide tax support to deal teams and business units for pending acquisitions, dispositions, financings, reorganizations, restructurings, venture capital fund investments, and joint ventures
- Serve as . federal income tax single point of contact and identify state and non-income tax issues
- Support worldwide tax projects, including analyzing relevant tax law, working with tax advisors, and preparing and reviewing financial models
- Clearly communicate complex technical tax issues to management and stakeholders
- Draft and review tax provisions in deal documents
- Prepare technical tax memoranda

- Negotiate, draft, and review tax provisions in deal documents
- Prepare and review technical tax memoranda
- Manage and develop team members
- Perform other job-related duties as assigned

Required Qualifications:

- Bachelor's Degree
- Juris Doctorate
- 5+ years of experience
- Member in Good Standing of State Bar

Preferred Qualifications:

- LLM - Master of Laws
