Job Overview: A law firm seeks a talented Mid-Level Corporate Mergers and Acquisitions Associate Attorney with 4-5 years of substantive experience in private mergers and acquisitions transactions. The ideal candidate will have significant experience handling mergers and acquisitions for Private Equity clients. The role entails managing smaller deals with limited supervision and leading larger deals with direct partner oversight. Experience in drafting and negotiating partnership/LLC agreements and other organizational documents is essential. Additional expertise in fund work (including primary fund offerings and secondary fund transfers) and familiarity with public mergers and acquisitions are advantageous.

Duties:

  • Manage and execute private mergers and acquisitions transactions.
  • Handle smaller deals with minimal supervision.
  • Lead larger deals with direct partner supervision.
  • Draft and negotiate partnership/LLC agreements and other organizational documents.
  • Collaborate with partners and clients to achieve transactional objectives.
  • Conduct legal research and analysis relevant to mergers and acquisitions transactions.
  • Assist in due diligence processes.
  • Provide legal advice and support to clients on corporate matters.

Requirements:

  • 4-5 years of substantive experience in private mergers and acquisitions transactions.
  • Significant experience in handling mergers and acquisitions for Private Equity clients.
  • Proficiency in drafting and negotiating partnership/LLC agreements and organizational documents.
  • Strong understanding of corporate law principles.
  • Excellent communication and interpersonal skills.
  • Ability to work effectively both independently and as part of a team.
  • Exceptional attention to detail and organizational skills.
  • Juris Doctor (.) degree from an accredited law school.

Preferred Qualifications:

  • Experience in fund work, including primary fund offerings and secondary fund transfers.
  • Familiarity with public mergers and acquisitions transactions.

Education:

  • Juris Doctor (.) degree from an accredited law school.

Certifications:

  • Admission to the Texas State Bar (or eligibility for admission via waiver or examination).

Skills:
