The ideal candidate will lead transactions and interact directly with founders, CEOs, management teams, and boards of directors at company-side clients, as well as investment partners and general counsel at investor-side clients. This role involves representing technology and growth companies at various stages of development, providing counsel on company formation, equity structures, financing negotiations, strategic transactions, corporate governance, equity incentive plans, employment matters, and fostering relationships with institutional investors funding private technology and life sciences companies.

 

Duties:

  • Lead transactions and directly interact with founders, CEOs, management teams, and boards of directors at company-side clients.
  • Interact directly with investment partners and general counsel at investor-side clients.
  • Represent technology and growth companies at all stages of development, from seed-stage start-ups to large private companies.
  • Counsel entrepreneurs on company formation, equity structures, and financing negotiations.
  • Advise private companies and management teams on corporate matters, including strategic transactions, fundraising, corporate governance, equity incentive plans, and employment matters.
  • Foster relationships with institutional investors funding private technology and life sciences companies.

 

Requirements:

  • 4-6 years of ECVC experience.
  • Demonstrated interest in growth industries.
  • Ability to split time evenly between company-side and investor-side work.
  • Strong communication and interpersonal skills.
  • Excellent negotiation and transactional skills.
  • Membership in the California Bar or eligibility to become a member.

 

Education:

Juris Doctor (.) from an accredited law school.

 

Certifications:

Membership in the California Bar or eligibility to become a member.

 

Skills:

  • Experience representing technology and growth companies.
  • Knowledge of corporate transactions, including equity financing and mergers and acquisitions.
  • Ability to counsel clients on complex legal and business matters.
  • Strong relationship-building skills with clients and investors.
