The ideal candidate will be responsible for handling public and private equity offerings, interfacing with regulatory authorities, advising public companies on corporate governance matters, and maintaining client relationships. Duties:

  • Handle public and private equity offerings, including initial public offerings and follow-on offerings.
  • Prepare proxy statements and S-4 registration statements for business combination transactions.
  • Interface with the SEC and other regulatory bodies to ensure compliance.
  • Advise public companies on ongoing reporting requirements under the '34 Act, including 10-Ks, 10-Qs, 8-Ks, and proxy statements.
  • Represent both issuers and underwriters in various transactions.

  • Manage and draft legal documents, contracts, and agreements.

Requirements:

  • 3-4 years of relevant legal experience in capital markets and securities law.

  • Strong academic background with a Juris Doctor (.) degree from an accredited law school.
  • Client management skills to effectively communicate and maintain client relationships.
  • Exceptional drafting and negotiation skills to craft legal documents and agreements.

Education:
