A law firm in Dallas, TX, is seeking a Junior-Mid-Level Corporate M&A Associate Attorney with experience in private equity transactions, M&A, and corporate governance. The ideal candidate will have strong academic credentials, superior drafting and research skills, and the ability to work effectively in a team environment.

 

Duties:

  • Assist in all stages of M&A transactions, including due diligence, negotiation, and drafting of transaction documents.
  • Work closely with private equity funds, independent sponsors, and portfolio companies on M&A deals, capital raises, and securities offerings.
  • Draft and review operating agreements, partnership agreements, and other corporate governance documents.
  • Provide day-to-day legal support to portfolio companies, addressing various legal and business issues as they arise.
  • Conduct legal research and analysis on corporate and securities law matters.
  • Collaborate with internal and external stakeholders, including clients, opposing counsel, and advisors.
  • Participate in professional development activities, including community and professional organization involvement.

 

Requirements:

  • Bachelor's degree and Juris Doctor (.) degree from accredited institutions.
  • Admission to the State Bar of Texas.
  • 2-4 years of experience in corporate M&A, preferably in a law firm setting.
  • Experience working with private equity funds, independent sponsors, and portfolio companies.
  • Strong academic background with superior drafting and research skills.
  • Ability to negotiate transaction documents and communicate effectively with clients and colleagues.
  • Diligent, detail-oriented, proactive, and team-oriented approach to work.
  • Willingness to participate in community and professional organizations for professional development.

 

Education:

Bachelor's degree and Juris Doctor (.) degree from accredited institutions.

 

Certifications:

Admission to the State Bar of Texas.
