The ideal candidate will have experience representing private fund sponsors and institutional investors on complex fund formation matters, co-investments, and secondary transactions.

Duties:

  • Advise clients on all aspects of private equity fund formation, including drafting and negotiating limited partnership agreements, subscription agreements, and side letters.
  • Conduct due diligence on fund structures, regulatory compliance, and securities law issues.
  • Assist with the structuring and formation of private equity funds, including drafting offering memoranda, private placement memoranda, and organizational documents.
  • Collaborate with partners, clients, and other stakeholders to develop and implement fund formation strategies.
  • Review and analyze fund documents, including partnership agreements, investment management agreements, and related agreements.
  • Provide legal advice and support on co-investments, secondary transactions, and other fund-related matters.
  • Stay current on developments in fund formation laws, regulations, and industry trends.

Requirements:

  • Juris Doctor (.) degree from an accredited law school.
  • Admission to the Illinois Bar or eligibility to waive into the Illinois Bar.
  • 3-6 years of experience in private equity fund formation at a reputable law firm.
  • Strong understanding of private equity fund structures, terms, and regulatory requirements.
  • Experience representing private fund sponsors and institutional investors.
  • Excellent drafting and negotiation skills.
  • Ability to work independently and collaboratively in a fast-paced environment.
  • Strong analytical and problem-solving skills.
  • Exceptional attention to detail and organizational abilities.

Education:

  • Juris Doctor (.) degree from an accredited law school.

Certifications:
