Duties:

  • Provide legal counsel and support on capital markets transactions, including public offerings and private placements of equity and debt securities.
  • Advise clients on Exchange Act reporting and compliance.
  • Assist clients with corporate governance matters, including board and committee meetings, shareholder relations, and regulatory compliance.
  • Draft, review, and negotiate transaction documents, securities filings, and other legal documents.
  • Conduct legal research and analysis to ensure compliance with applicable laws and regulations.
  • Collaborate with other attorneys, clients, and third-party professionals to effectively represent clients in legal matters.
  • Stay updated on changes in securities laws and regulations and provide proactive guidance to clients.

Requirements:

  • 4-7 years of experience in corporate securities and capital markets transactions at a reputable law firm.
  • Strong academic credentials with a record of high achievement.
  • Proficiency in corporate securities law and capital markets transactions.

Education and Certifications:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the Texas Bar (or ability to obtain admission promptly).
