A law firm seeks a Corporate Associate Attorney to report to the Corporate Group Department Head. The selected candidate will play a key role in advising motor vehicle manufacturers nationally and navigating general corporate, contractual, and business matters. The responsibilities encompass providing counsel on dealer network implementation, risk analysis of dealer programs under state regulations, drafting various distribution documents, and negotiating commercial arrangements. The Corporate Associate Attorney will collaborate with the Motor Vehicle Group, spanning both corporate and litigation attorneys, as well as professionals from other practice groups within the firm.

Duties:

  • Advise motor vehicle manufacturers on general corporate, contractual, and business matters nationally.
  • Counsel clients on the implementation and operation of dealer networks, including risk analysis under state regulations.
  • Draft various documents covering distribution, sales, and after-sales areas, including distributor and importer agreements, dealer agreements, and service agreements.
  • Negotiate and implement commercial arrangements, including third-party vendor agreements and contracts related to promotional, sponsorship, and licensing agreements.
  • Collaborate with attorneys and staff in the Motor Vehicle Group, as well as other practice groups across the firm.

Requirements:

  • Juris Doctor degree from an ABA-accredited law school with high academic performance.
  • Must be in good standing with the State Bar.
  • 5-8 years of experience in a corporate law firm setting.
  • Experience with review and drafting of commercial contracts, including purchase and supply agreements, sale and distribution agreements, commercial terms and conditions, non-disclosure agreements, letters of intent, joint venture agreements, and purchase money security interests.
  • Experience with motor vehicle or general franchise agreements and/or state and federal statutes is a plus.

Skills:

  • Excellent communication skills.
  • Ability to research, analyze, understand, communicate, and apply technically precise provisions of applicable law, regulations, and guidance.
  • Proficiency in drafting various legal documents.
  • Negotiation skills for commercial arrangements.
  • Knowledge of motor vehicle or franchise agreements is advantageous.

Education:

  • Juris Doctor degree from an ABA-accredited law school.

Certifications:

  • Must be in good standing with the State Bar.
