Assistant General Counsel Duties: Assist the Chief Legal Officer and senior management in identifying and managing significant legal and compliance risks and opportunities. Serve as a strategic legal advisor to the company, providing legal advice and services in a variety of areas, which may include. Commercial transactions and agreements in the Americas, EU, and Asia; sales and lease contracts, distribution agreements. Research arrangements and agreements for clinical research and joint development. Transactions, including acquisitions, joint ventures, collaborations, and licensing. Regulatory and quality - compliance with legal requirements. HR matters – employment agreements, compensation, benefits; training. Intellectual property and data privacy matters. Investigations, litigation, dispute resolution. Real estate – company facilities. Securities and Finance – transactions, shareholder relations, equity incentive plans; possible IPO or other transition to a public company. Corporate governance matters.
Qualification and Experience Qualifications: Excellent academic and legal credentials. 10+ years of relevant work experience, preferably including experience with a multinational organization and/or a reputable law firm and in health care/life sciences. Strong analytical thinking, high integrity, result-oriented, self-starter, with a hands-on approach. Ability to work with dynamic multinational and interdisciplinary teams. Strong written and verbal communication and presentation skills.
