Job Description: - The Associate General Counsel - Corporate Governance will advise and work on corporate governance matters, manage board of directors' meetings, and provide in-house legal services for the Hawaiian Electric Companies. - This role will also support the corporate secretary function, oversee litigation, and manage and develop corporate governance documents. Responsibilities: - Advise and work on corporate governance matters in support of the Hawaiian Electric Companies. - Manage board of directors' and committee meetings, including preparation of materials, resolutions, and minutes. - Provide support to the corporate secretary function. - Manage and develop corporate governance documents. - Provide legal services to the Hawaiian Electric Companies, including evaluation of complex legal issues and assessment of risk. - Oversee litigation involving directors and assist with corporate transactions. - Develop companies' policies, procedures, and strategies. - Direct and manage work of outside attorneys. - Develop and assist with implementing legal training and educational programs for company employees. - Participate as a legal advisor on task forces, committees, and special projects. - Effectively communicate with senior management on complex legal issues and risks. - Advocate for the Hawaiian Electric Companies' positions externally. - Provide other services as the attorney's abilities, education, and experience enable. - Participate as a member of Company Incident Management Teams or provide support as needed. Qualifications: - Law degree and membership in the Hawaii State Bar Association. - Thorough knowledge of corporate and business law, with preferably strong familiarity in corporate governance and corporate secretary processes. - Minimum of 4-7 years of legal experience, with a minimum of three years of concentration in one or more specialized practice areas. - Ability to work independently and make mature, experienced business and legal judgments. - Excellent communication skills, both verbal and written. - Commitment to the company's core values. - Strong customer orientation and ability to generate internal client satisfaction. - Competency in management and leadership, including interpersonal skills, relationship management, and conflict resolution. - Ability to prioritize and oversee multiple projects and remain flexible in a demanding work environment. - Positive attitude and ability to work collaboratively and delegate responsibilities. - In-depth analytical, organizational, and conceptual skills. - Ability to identify and research legal issues and provide creative solutions.
