A law firm seeks a Corporate and Securities Associate Attorney to play a crucial role in advising public and private bank holding companies, FinTech entities, and investors. The ideal candidate will contribute to various aspects of general corporate, contractual, securities, and governance matters, and actively participate in mergers and acquisitions, as well as capital raising transactions. The role involves drafting agreements, conducting due diligence, reviewing SEC reports, and structuring client relationships and partnerships within the FinTech sector.

Duties:

  • Advise public and private bank holding companies, FinTech entities, and investors on general corporate, contractual, securities, and governance matters.
  • Play a pivotal role in mergers and acquisitions, as well as capital raising transactions.
  • Draft substantive agreements and correspondence related to various transactions.
  • Review periodic and current SEC reports, as well as proxy statements.
  • Lead due diligence efforts in transactions.
  • Negotiate and close transactions with a keen understanding of the nuances involved.
  • Collaborate with attorneys and staff in the Financial Institutions Group and other practice groups within the firm.

Requirements:

  • Juris Doctor degree from an ABA-accredited law school (class of 2021 or 2022) with high academic performance.
  • Must be in good standing with the State Bar.
  • 2 or 3 years of experience in a corporate law firm setting.
  • Preferred but not required: Experience with applicable provisions of the Securities Act of 1933, Securities Exchange Act of 1934, general state corporate codes, and Nasdaq listing requirements.
  • Ability to research, analyze, understand, communicate, and apply technically precise provisions of applicable law, regulations, and guidance.
  • Excellent critical thinking and analytical abilities, particularly in developing a conceptual understanding of new topics.
  • Exceptional written and oral communication skills.
