A law firm is seeking a skilled and motivated Mid-Level Investment Funds Associate Attorney to join their team in Houston, TX. The ideal candidate will have 3-5 years of experience with corporate transactions, with a strong preference for those who have worked on the structuring, forming, and managing of private equity funds, real estate funds, and alternative investment vehicles, including their management companies. Candidates with relevant general corporate experience will also be considered.

Key Responsibilities:

  • Assist in the structuring, forming, and managing of private equity funds, real estate funds, and other alternative investment vehicles.
  • Provide legal advice and support on managing investment funds and their management companies.
  • Draft, review, and negotiate fund formation documents, including private placement memoranda, limited partnership, subscription, and management agreements.
  • Advise clients on regulatory compliance issues related to investment funds, including SEC regulations and other relevant legal frameworks.
  • Collaborate with cross-functional teams to support corporate transactions related to investment funds.
  • Conducted legal research and provided strategic advice on corporate and investment fund matters.
  • Maintain current knowledge of relevant legal developments in the investment funds and corporate sectors.
  • Support the firm’s business development efforts by contributing to client pitches and proposals.

Requirements:

  • 3-5 years of experience with corporate transactions.
  • Proven experience in the structuring, formation, and management of private equity funds, real estate funds, and other alternative investment vehicles.
  • Strong understanding of regulatory compliance issues related to investment funds.
  • Excellent drafting, negotiation, and communication skills.
  • Ability to manage multiple projects and clients simultaneously in a fast-paced environment.
  • Strong analytical and problem-solving skills.
  • Ability to work collaboratively with colleagues and clients.

Education:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the State Bar of Texas, or the ability to become admitted promptly.

Certifications:

  • Member in good standing of the State Bar of Texas.
  • Additional certifications related to corporate law or investment funds are a plus.

Skills:

  • Expertise in corporate transactions and investment fund management.
  • Proficiency in drafting and negotiating legal documents.
  • In-depth knowledge of SEC regulations and other relevant compliance requirements.
