A law firm seeks a Fund Formation Associate Attorney in New York City, NY.

Job Overview:

The Fund Formation Associate Attorney will be responsible for all aspects of the formation, structuring, capital raising, compliance, and ongoing management of alternative investment funds across various strategies. Additionally, they will work on related capital-raising transactions, including programmatic joint ventures, and manage the equity investment process for one-off investment transactions on behalf of independent sponsors.

Duties:

  • Involved in all fund formation, structuring, and compliance aspects for alternative investment funds.
  • Work on capital raising transactions and manage equity investment processes.
  • Draft limited partnership agreements and limited liability company agreements for private investment funds.
  • Review and identify issues in fund documents on behalf of institutional investors.
  • Prepare offering documents, including PPMs, ensuring compliance with Regulation D and other securities laws.
  • Provide advice on the Advisers’ Act and related exemption, registration, and compliance issues for fund managers.
  • Draft and negotiate transaction documents and commercial agreements.
  • Interact and advise legal and business professionals throughout the process.

Requirements:

  • 2-6 years of large law firm experience in representing private fund sponsors and institutional investors.
  • Primary drafting experience for limited partnership and limited liability company agreements in the private investment fund context.
  • Solid understanding of market fund terms and negotiation processes.
  • Experience preparing to offer documents and familiarity with securities laws governing private placements.
  • Strong interpersonal skills and ability to interact with clients and colleagues.
  • Strong academic record and excellent writing and oral communication skills.
  • Ability to work independently and handle substantive transaction documents.

Education:

  • Juris Doctor (.) from an accredited law school.

Certifications:

  • Admission to the New York State Bar or eligibility to waive into the Bar.

Skills:
