## Corporate Counsel

The Corporate Counsel is responsible for providing business and legal support and solutions to all departments and subsidiaries of the Company. This position reports to the General Counsel and is expected to be capable of independently handling and managing legal and business matters.

### Essential Duties and Responsibilities

* Provide legal and business advice and guidance to internal departments, including Membership Services, Underwriting, Claims, and Risk Management
* Understand and develop expertise in coverage issues related to the Company’s core products, including the ability to review, analyze and provide legal and practical solutions to Claims Department inquiries and communicate with sophisticated outside parties
* Oversee and provide advice on membership benefits programs
* Provide legal advice to the business on contract matters, including structuring, contract interpretation, legal compliance and enforcement and risk assessment
* Maintain a current working knowledge of new laws, regulatory developments, operations best practices, and new legal support technology; recommend process, product, or service improvements
* Assist General Counsel, department colleagues, and company management with special projects or assignments as needed
* Perform other duties as assigned

### Education and/or Experience

* required
* 5 years minimum combined experience as a practicing attorney at a law firm or in-house department
* Litigation experience highly preferred; in-house experience also a plus
* Working knowledge of (or willingness to learn) corporate regulatory and compliance needs, including data privacy and security laws (., HIPAA, CCPA, CPRA and Gramm-Leach-Bliley Act)

### Other Essential Skills and Abilities

* Excellent communications skills, with the ability to understand and address current and anticipated future needs of the business, and to resolve internal and external business challenges; prior in-house experience a plus
* Strong independent legal research and analytical skills, including a working familiarity with and regular use of Westlaw and/or LexisNexis or similar legal research tools
* Manage one or more direct reports, and supporting professional and career development
* Strong interpersonal skills and ability to collaborate well with department colleagues

### Licenses

Must be licensed to practice law in California.

### Travel

Available to travel 5-10% of time for work duties and responsibilities.

The Company is seeking an experienced Corporate Counsel to join its General Counsel and Corporate Legal department. The Corporate Counsel will play a key role in providing business and legal support and solutions to all departments and subsidiaries of the Company. This role will report to the General Counsel and will be expected to be capable of independently handling and managing legal and business matters.

The successful candidate must possess a , and have a minimum of 5 years combined experience as a practicing attorney at a law firm or in-house department.
