## Associate Attorney

Calista Corporation is seeking an experienced Associate Attorney to join their legal team. This position will be responsible for providing legal counsel to existing clients, performing legal research, drafting documents, and keeping client files up to date. The ideal candidate will have a Juris Doctorate degree and a minimum of one year of legal experience.

**Job Summary**
The Associate Attorney assists General Counsel with legal issues and will provides legal counsel to existing clients. This position will be responsible for performing legal research, drafting documents, and keeping client files up to date.

**Essential Functions**
- Research and analyze the law on complex issues and writing briefs for submission.
- Analyze and summarize complicated legal documents, including contracts, and suggesting alterations to those documents.
- Perform discovery of various electronically stored data and hard copies of information in preparation for litigation.
- Perform due diligence in legal matters concerning contracts, agreements, and mergers and acquisitions.
- Draft legal texts, including reports, contracts, and appeals.
- Litigation developments and strategy.
- Work with the business groups on Client and Vendor Agreements.
- Interact with internal business groups, external customers, vendors, and strategic partners to provide counsel and timely updates on various legal and contractual issues.
- Ensure that data obtained during interactions with clients remain confidential and are stored securely.
- As required, assist Calista’s Human Resources department with in-house personnel matters and investigations that require interviews.
- Maintain current knowledge of relevant legal principles, practices, and trends.
- Ensure quality and timeliness of legal advice.
- Support the continuous improvement of legal processes to promote efficiency.
- Undertake special projects as required to support new business initiatives.
- Develop, review, revise, and maintain corporate policies and charters.
- Develop, implements, and maintain various corporate governance best practices and policies.
- Assist with Shareholder stock transfers.
- Maintain compliance with Alaska Bar Association requirements for continuing legal education.
- Work in a constant state of alertness and in a safe manner.
- Perform other duties as assigned.

**Knowledge, Skills, & Abilities**
- Strong knowledge of the Constitution, statutes, court decisions, state and federal laws and regulations.
- Strong knowledge legal codes, court procedures, precedents, executive orders, agency rules, and the democratic political process.
- Knowledge of legal methods and processes, including the administrative regulation promulgation process, legislative drafting, and the legislative process.
- Ability to analyze legal documents and interpret laws, regulations, and policies.
- Ability to conduct administrative hearings.
- Ability to provide leadership, counsel, motivation, and constructive feedback to others.
- Strong decision analysis and problem-solving skills; ability to detect unobvious facts, draw conclusions, and justify decisions.
- Excellent interpersonal skills; ability to maintain effective working relationships with fellow employees, other agencies, Calista Region tribal entities, Village Corporations, the public, and the federal government.
- Excellent technical writing skills; ability to draft and edit a wide variety of technical documents including contracts, policies, letters, etc.
- Ability to multi-task and meet deadlines; Effective change management skills.
- Must be detail oriented; superior organizational, information management, and follow-up skills.
- Ability to learn and understand corporate policies/procedures and how they relate to Calista’s goals.
- Well-developed professional oral and written communication skills sufficient to engage in sound, clear, effective, and well-reasoned discussions with internal and external customers, and provide back-up documentation/information. Ability to effectively engage in public speaking.
- Ability to use standard business computers, with considerable knowledge of business applications including Microsoft Office Suite.
- Ability to work safely.
- Ability to perform basic mathematical computations.
- Ability to participate in and facilitate group meetings.
- Ability to work a flexible schedule as needed.
- Ability to operate a motor vehicle in a safe and efficient manner.

**Minimum Qualifications**
- Juris Doctorate (JD) from an ABA accredited law school with a license to practice law by the Alaska Bar Association.
- Minimum one year of legal experience required, previous experience or education in ANCSA, corporate, commercial, securities and employment law preferred.
- Valid state driver’s license and be qualified to operate a vehicle under the conditions of Calista’s Driving Policy.
- Ability to pass a drug and background screening.
- Ability to speak Yup’ik preferred.

Calista Corporation’s Legal team has a fast-paced, multi-tasking, customer service-oriented office environment requiring a high degree of efficient and effective performance. Adaptability regarding schedule and task changes is necessary to accommodate changing priorities. Overtime may be required. Professional business appearance required.
