Job Title:

- Senior Counsel

Experience Information:

- Minimum of six (6) years of experience as an attorney, with a focus on mergers and acquisitions, capital markets, commercial contracts and general corporate legal matters, either in-house or at a law firm.

- Strong knowledge of M&A, finance and commercial transactions.

- Experience in drafting, reviewing, and negotiating a variety of legal instruments, including transactional M&A documents and complex commercial agreements.

- Sound understanding of the legal and regulatory frameworks and the common law principles applicable to M&A and commercial matters.

- Excellent communication and negotiation skills, with the ability to interact effectively with internal stakeholders and external vendors.

- Strong analytical and problem-solving abilities, with a keen attention to detail and the capacity to assess and mitigate legal and commercial risks.

- Ability to work independently, manage multiple priorities, and meet deadlines in a fast-paced environment.

H1: Senior Counsel - Supporting M&A, Operational and Commercial Activities

H2: Essential Duties & Responsibilities

- Provide expert legal advice and guidance to operations and commercial teams
- Draft, review, negotiate, and finalize complex transactional, financial and commercial agreements
- Assess and mitigate legal and commercial risks
- Ensure compliance with applicable laws and regulations
- Collaborate with internal departments to align legal counsel with company-wide goals
- Work with outside counsel to oversee activities and ensure consistency with objectives and risk tolerance

H2: Education and/or Experience, Knowledge, Skills & Abilities

- Juris Doctor (.) degree and active bar membership
- Minimum of six (6) years of experience as an attorney
- Strong knowledge of M&A, finance and commercial transactions
- Experience in drafting, reviewing, and negotiating legal instruments
- Sound understanding of legal and regulatory frameworks
- Excellent communication and negotiation skills
- Strong analytical and problem-solving abilities
- Ability to work independently and manage multiple priorities

H2: Working Conditions

- Normal office working conditions
- Occasional overnight travel may be required
- Occasional visits to industrial/manufacturing settings
